Effective Date: [27/Sep/2023]

1. Introduction

iBubbbly Health, LLC (hereafter referred to as "the Company'') is dedicated to upholding the highest standards of ethics, integrity, and compliance in all of its business operations. As part of this commitment, the Company has established this comprehensive Anti-Bribery and Corruption Policy to outline its firm stance against any form of bribery and corruption, both internally and externally. This policy serves as a guiding framework for all employees, contractors, agents, and business partners, emphasizing the significance of conducting business in an ethical and transparent manner.

2. Prohibited Conduct.

2.1 Bribery: The Company strictly prohibits the offering, giving, receiving, or soliciting of any form of bribe, whether it involves money, gifts, favors, or any other improper inducements. This prohibition extends to bribes offered or received directly or indirectly through third parties, and applies to all dealings, both within the public and private sectors.

2.2 Facilitation Payments: The Company unequivocally prohibits the use of facilitation payments, also known as "grease payments," which are intended to expedite routine administrative or governmental processes. Any requests for or instances of facilitation payments must be promptly reported to the appropriate authorities within the Company.

2.3 Kickbacks: The Company strictly forbids the acceptance or provision of kickbacks, which involve the exchange of improper payments or benefits to obtain or retain business or gain an unfair advantage. Such practices erode the integrity of business transactions and are incompatible with the Company's core values.

2.4 Conflicts of Interest: Employees are expected to avoid any situation that may give rise to a conflict of interest, as it could compromise their impartiality or judgment when conducting Company business. Any actual or potential conflicts of interest must be disclosed promptly to the relevant parties within the Company, allowing for transparency and appropriate action to be taken.

3. Compliance Obligations.

3.1 Legal and Regulatory Compliance: All employees, contractors, agents, and business partners must adhere to all applicable laws, regulations, and industry standards concerning anti-bribery and corruption. Compliance with these laws is essential to maintaining the Company's reputation and fostering a culture of integrity.

3.2 Due Diligence: The Company recognizes the importance of due diligence in its engagement with third parties, including suppliers, agents, distributors, and partners. The Company will exercise careful scrutiny to ensure that these entities adhere to the same high standards of anti-bribery and corruption. Thorough vetting processes will be implemented to identify potential risks and ensure business relationships are established with reputable and ethical partners.

4. Reporting and Whistle-blowing.

4.1 Reporting Suspected Violations: Any employee, contractor, agent, or business partner who suspects or becomes aware of a potential violation of this policy must immediately report it to their supervisor or the designated compliance officer. Timely reporting allows for swift action to be taken to address and rectify any breaches of the policy.

4.2 Whistle-blowing Protection: The Company is firmly committed to protecting individuals who report suspected violations in good faith. Whistleblowers will be assured confidentiality, and no retaliatory action will be taken against them for reporting in good faith. The Company recognizes the importance of safeguarding the anonymity and well-being of those who come forward to report potential misconduct.

5. Training and Awareness.

The Company understands the critical role of training and awareness in promoting a culture of compliance. Regular training programs will be provided to ensure that all employees, contractors, agents, and business partners understand their obligations under this policy and are equipped to recognize and prevent bribery and corruption. These programs will foster a shared understanding of the ethical expectations set forth by the Company.

6. Compliance Monitoring and Enforcement.

The Company is committed to regularly reviewing and monitoring compliance with this policy. Internal controls and auditing processes will be established to assess the effectiveness of anti-bribery and corruption measures. In cases where violations are identified, appropriate disciplinary action will be taken, up to and including the termination of employment or contractual relationships, to demonstrate the Company's unwavering commitment to a culture of integrity.

7. Policy Review.

This policy will be periodically reviewed to ensure its effectiveness and alignment with legal and regulatory requirements. The Company recognizes the dynamic nature of anti-bribery and corruption regulations and will strive to keep this policy up-to-date. Any amendments or updates to the policy will be promptly communicated to all relevant parties, ensuring continued awareness and compliance.
